Terms of Service

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and MajiGrid ("we," "us," or "our"). These Terms govern your access to and use of our Website, our Web/Mobile Application, the Smart Tank Sensor Nodes, the Pump Control Units, and our water delivery marketplace (collectively, the "Platform").

By purchasing our hardware or accessing the Platform, you agree that you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree, you are expressly prohibited from using the Platform and must discontinue use immediately.

MajiGrid provides proprietary IoT hardware to enable platform functionality. Hardware purchases are subject to the following terms:

• Capital Expenditure (CAPEX): The Smart Tank Node and the Pump Control Unit are one-time hardware purchases currently priced at Ksh 8,500 per unit (exclusive of installation and taxes). Prices are subject to change.
• Installation: Hardware must be installed by MajiGrid certified technicians or approved plumbing partners. Damage caused by improper third-party installation voids all warranties.
• 1-Year Limited Warranty: We warrant that the physical hardware will be free from defects in material and workmanship for a period of one (1) year from the date of installation. This warranty does not cover damage from acts of God, vandalism, unauthorized modification, or severe power grid surges.

The hardware requires an active connection to our cloud infrastructure to function. By deploying MajiGrid, you agree to the recurring software subscription terms:

• Operating Expenditure (OPEX): Access to the dashboard, AI anomaly detection, automated pump routing, and SMS alerts requires a mandatory subscription of Ksh 150 per node per month.
• Service Suspension: Failure to pay the AAAS subscription fee within 15 days of the billing cycle will result in the suspension of cloud access. During suspension, automated pump controls and SMS alerts will be disabled; however, local manual overrides on the hardware will remain functional.

MajiGrid offers an in-app marketplace to dispatch vetted water bowser trucks when municipal supply fails.

• Platform Fee: MajiGrid charges a 10% platform fee on the total value of water sales processed through our Delivery Network.
• Independent Contractors: Water truck operators are independent contractors, not employees of MajiGrid. While we vet our partners, we are not directly liable for delays in transit, water quality variations from the municipal source, or vehicular damage occurring on your property during delivery.

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES.

This includes, but is not limited to, liability for:

• Water damages resulting from plumbing failures downstream from our sensors.
• Pump motor burnout due to pre-existing electrical grid faults or failure of physical plumbing infrastructure.
• Financial losses or tenant disputes arising from municipal water shortages outside of MajiGrid's control.
